Acquiring and developing property in Mexico is a complex process involving many potential pitfalls, particularly for foreign investors. To further complicate matters, Mexico’s title system is far less technologically advanced than its northern neighbor and thus defects and uncertainty in title remain prevalent. Moreover, federal, state and local authorities establish a myriad of permitting requirements before coastal land may be developed, and under Mexican law, buyers may be liable for environmental violations that occurred before acquiring property.
Foreign buyers of real property are also well-advised to retain independent legal counsel to conduct necessary due diligence and review contracts and other closing documents, rather than relying on the advice of the brokers or sellers attorney, whose interests may not coincide with the buyers.
Likewise, corporate and institutional investors must also carefully structure and plan real estate investments and joint ventures in accordance with Mexican law, particularly with respect to cooperate governance provisions, land trusts, and real estate financings such as mortgages, guarantee trusts, leasebacks, pledges and mortgages.
